These Terms of Service ("Terms") govern your access to and use of the CleanListed platform, website, applications, messaging tools, reports, badges, premium features, and related services (collectively, the "Services") offered by Northbound Software Group d/b/a CleanListed ("CleanListed," "we," "us," or "our").
By accessing or using the Services, creating an account, posting a listing, purchasing a Paid Service, or otherwise interacting with the Services, you agree to be bound by these Terms. If you do not agree, do not access or use the Services.
The Services are intended only for individuals who are at least eighteen (18) years old and capable of forming a binding contract.
The Services are not directed to children or teens. By using the Services, you represent and warrant that you are at least 18 years old.
If CleanListed reasonably believes that you are under 18, we may suspend or terminate your account, remove associated content, restrict access to the Services, and take any other action permitted by law and our Privacy Policy.
Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference.
You consent to receive notices, disclosures, receipts, reports, alerts, legal notices, safety communications, and other communications electronically, including by email, in-app message, platform notification, or SMS where applicable.
If you are a resident of a state with specific privacy rights, including California, additional notices or disclosures may apply as described in the Privacy Policy.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account, including activity through supported social login or authentication providers.
You must provide accurate, current, and complete information and keep it updated. You must promptly notify us if you suspect unauthorized access, account compromise, or any other security incident.
We may, in our sole discretion and at any time, without liability to you:
for trust and safety reasons, suspected fraud, legal risk, operational reasons, inactivity, nonpayment, reputational concerns, policy enforcement, chargeback risk, abuse, or suspected violation of these Terms.
CleanListed is a limited online venue and information service. CleanListed provides listing tools, communications tools, reports, badges, trust signals, and related platform features.
CleanListed does not buy, sell, resell, broker, consign, auction, inspect, authenticate ownership of, certify title to, appraise, warehouse, possess, repair, refurbish, ship, deliver, finance, insure, escrow, process payment for, or transfer title to any device. CleanListed is not a party to any transaction between users.
Any negotiation, inspection, exchange, transfer of possession, trade, title transfer, delivery, meetup, off-platform communication, or payment for a physical device occurs solely between users and at their own risk.
A listing marked as “sold,” “deal completed,” or with any similar status reflects only a platform event, workflow event, user action, or limited system state known to CleanListed at the relevant time. Such status does not constitute a representation, certification, or guarantee by CleanListed that payment was successfully made, that title or ownership validly transferred, that the device was delivered, that either party performed as promised, that the device matched its description, that the transaction was lawful, or that no dispute, chargeback, reversal, fraud, or post-transaction issue exists or will arise.
Nothing in the Services or these Terms creates any agency, partnership, joint venture, brokerage, fiduciary, employment, franchise, or similar relationship between CleanListed and any user.
CleanListed does not undertake and expressly disclaims any duty to protect, monitor, supervise, or police device transactions, physical meetups, off-platform payments, user honesty, user solvency, user identity, user creditworthiness, or user performance.
CleanListed may charge fees for platform-related digital services, including Safety Reports, IMEI checks, Verified Badges, boosts, premium tools, and similar features ("Paid Services").
If your payment method fails, expires, is declined, or cannot be charged, CleanListed may suspend, downgrade, or terminate your access to the affected Paid Service until payment is successfully processed.
Payment processing for Paid Services may be handled by Stripe or other third-party providers. By purchasing Paid Services, you agree to any applicable third-party processor terms.
To provide Paid Services, you authorize CleanListed to transmit device identifiers and related data to third-party vendors, carriers, IMEI-check providers, external databases, payment processors, fraud-prevention vendors, and service providers.
CleanListed does not guarantee the availability, accuracy, timeliness, completeness, or continued availability of any third-party provider, data source, processor, or vendor.
Users are solely responsible for determining and paying any taxes, duties, or other governmental charges arising from their peer-to-peer device transactions. CleanListed does not collect or remit taxes on peer-to-peer device sales unless expressly stated otherwise in a specific flow.
For Paid Services, you are responsible for any applicable taxes, except to the extent CleanListed is required by law to collect, withhold, remit, or report such amounts. CleanListed may charge, collect, and remit taxes on Paid Services where legally required.
Except where prohibited by law or expressly stated by CleanListed in writing, all Paid Services are digital services delivered immediately or made available on demand, and all purchases are final and nonrefundable once delivered, activated, accessed, generated, issued, or used, including where you later decide not to proceed with a transaction.
CleanListed reserves the right to correct any pricing, feature, availability, descriptive, display, billing, or promotional error relating to Paid Services and to refuse, cancel, revoke, reprice, or reverse any affected purchase, order, quote, or access grant to the extent permitted by law.
Certain Paid Services, including boosts, promotional features, or similar paid platform tools, may be offered using dynamic pricing, limited-time offers, demand-based pricing, crowding-based pricing, or short-lived quoted prices. Any quoted, previewed, displayed, or locked price is valid only for the specific item, parameters, and time period expressly shown or otherwise communicated at the time of the quote. If checkout is not completed within that period, or if the quoted parameters change, the quote may expire and the applicable price may change or become unavailable. CleanListed may decline, cancel, reprice, or refuse to honor any attempted purchase, quote, order, or access grant if the applicable quote has expired, was issued in error, was obtained or used through abuse, automation, fraud, or policy circumvention, does not match the quoted item or parameters, or cannot be validated against CleanListed's records at checkout, payment processing, or payment reconciliation.
Paid promotional features, including boosts, featured placement, promoted indicators, or similar visibility tools, may increase a listing's opportunity for placement or visibility within eligible surfaces, but they do not guarantee any specific ranking position, slot, impression volume, traffic level, click volume, inquiry volume, sale outcome, duration of display, or continuous display. Promotional eligibility, placement, and visibility may depend on compatibility rules, trust and safety rules, listing quality, photos, seller status, page shaping, slot availability, competing promotions, feature flags, technical constraints, experiments, and other platform rules or system conditions. CleanListed may limit, rotate, withhold, revoke, or discontinue promotional placement at any time if a listing or seller does not satisfy applicable requirements or if necessary for trust, safety, legal, operational, or product reasons.
CleanListed does not guarantee that any Paid Service, including any promotional feature, will be available on all surfaces, in all feeds, at all times, or in all markets.
If CleanListed reasonably suspects fraud, abuse, chargeback misuse, fee evasion, automation abuse, listing manipulation, or policy circumvention, CleanListed may suspend or terminate access, revoke paid features, deny refunds, decline reinstatement, and take any other action permitted by law or these Terms.
Safety Reports, IMEI checks, Verified Badges, scores, rankings, trust signals, and similar outputs are time-specific informational products based on data available to CleanListed at the time shown, including user-provided information and data obtained from third-party sources.
These outputs are provided for informational purposes only. They are not warranties, guarantees, insurance, certifications of title, certifications of future carrier eligibility, promises of future blacklist status, promises of merchantability, or assurances that a device, user, or transaction is genuine, problem-free, transferable, finance-free, blacklist-free, insurable, lawful, or safe.
Device status may change at any time before, during, or after a transaction for reasons outside CleanListed’s control, including delayed theft reports, insurance claims, carrier actions, financing defaults, MDM or enterprise restrictions, activation locks, account restrictions, repair history, parts swaps, physical damage, clerical errors, or fraud by a seller, buyer, prior owner, carrier, insurer, or other third party.
CleanListed is not responsible for any change in device status after a report, badge, score, or trust signal is issued, including where a device later becomes blacklisted, reported stolen, insurance-claimed, financed in default, activation-locked, enterprise-restricted, or otherwise impaired or restricted.
Unless CleanListed expressly agrees otherwise in writing, CleanListed has no duty to monitor, refresh, update, revoke, supplement, or notify users of later changes in device status, ownership status, carrier status, repair history, fraud signals, or transaction risk.
Any badge, report, or trust signal applies only to the exact device and identifiers reviewed by CleanListed. A badge or similar designation may be denied, revoked, terminated, hidden, or reclassified at any time if a listing is changed, identifiers change, the device is substituted, or CleanListed determines that the device or listing no longer meets applicable requirements.
You acknowledge and agree that you are not relying, and will not rely, on CleanListed as your agent, fiduciary, insurer, guarantor, professional advisor, law-enforcement substitute, or certification authority.
You further acknowledge that any report, badge, score, ranking, trust signal, or platform feature is only one tool among many and is not a substitute for your own inspection, judgment, testing, diligence, negotiation, verification, legal compliance, or risk assessment.
To the maximum extent permitted by law, you waive any claim that CleanListed owed you any special duty of care, advisory duty, investigative duty, protective duty, or duty to warn beyond what is expressly stated in these Terms.
Except for materials expressly identified as generated by CleanListed, all listings, descriptions, photos, videos, messages, offers, comments, and other content submitted through the Services ("User Content") are provided by users, not by CleanListed. The submitting user is solely responsible for that User Content and for any representation, omission, promise, or claim contained in it.
CleanListed may host, display, organize, rank, de-rank, recommend, filter, remove, review, moderate, restrict, or permit User Content on the Services, but CleanListed does not adopt, endorse, guarantee, or verify User Content merely by displaying, ranking, filtering, recommending, or allowing it on the Services.
CleanListed may offer ratings, reviews, tags, feedback summaries, and similar reputation signals. Such content may reflect user-submitted opinions, experience reports, or platform-generated summaries derived from user interactions and does not constitute a representation, endorsement, or verification by CleanListed. CleanListed may investigate, moderate, remove, suppress, decline to publish, summarize, tag, reorder, or otherwise act on reviews, ratings, or related content at any time. CleanListed may also use ratings, tags, review history, and related reputation signals in connection with trust indicators, listing visibility, eligibility, moderation review, enforcement, feature access, or other platform decisions. CleanListed is not obligated to resolve, edit, remove, or respond to every review or rating dispute.
A Safety Report, badge, score, or trust signal means only that CleanListed performed the specific review or check described for that feature as of the time shown. It is not an endorsement of the seller or an adoption of the seller’s full listing or conduct.
You grant CleanListed a worldwide, perpetual, irrevocable, non-exclusive, royalty-free, sublicensable, transferable license to host, store, reproduce, display, distribute, modify for formatting, analyze, use, copy, process, and create derivative internal outputs from your User Content as needed to operate, secure, improve, market, moderate, provide, and enforce the Services, subject to our Privacy Policy where applicable.
You represent and warrant that you own or control all rights necessary to grant this license and that your User Content does not infringe, misappropriate, or violate any third-party rights or applicable law.
If you provide suggestions, ideas, improvements, recommendations, corrections, or other feedback regarding the Services ("Feedback"), you grant CleanListed a perpetual, irrevocable, worldwide, sublicensable, transferable, royalty-free right to use, disclose, reproduce, modify, commercialize, and otherwise exploit that Feedback for any purpose without restriction, attribution, notice, or compensation to you.
If you create, maintain, or complete a listing as a seller, you represent, warrant, and covenant that:
You may not list or sell devices that are broken, nonfunctional, for parts, counterfeit, unlawfully obtained, materially misdescribed, subject to undisclosed financing or lease obligations, subject to undisclosed MDM restrictions, or otherwise ineligible under CleanListed’s listing standards.
CleanListed may use automated tools and human review to screen listing photos, images, and related media for safety, authenticity, quality, and policy compliance. CleanListed may reject, remove, delay, restrict, or require replacement of photos, media, or listings that appear misleading, inauthentic, irrelevant, duplicated, unsafe, prohibited, or inconsistent with platform requirements, including stock images, catalog images, screenshots, reused images, or images that do not clearly depict the offered device. Moderation outcomes may be imperfect, and resubmission, replacement, or additional review may be required. Approval, non-removal, or later publication of any image or listing does not constitute endorsement, verification, or acceptance by CleanListed.
CleanListed may remove any listing, revoke any badge, freeze any paid promotional feature, preserve related data, share records with service providers, payment processors, insurers, carriers, regulators, or law enforcement where appropriate, and pursue any other remedy available at law or in equity if we suspect fraud, misrepresentation, stolen property, fee evasion, prohibited-item activity, or policy abuse.
Buyers are solely responsible for inspecting a device before completing any transaction and for independently confirming all material facts, including IMEI and serial number, activation status, carrier compatibility, physical condition, battery health, repair history, included accessories, and seller identity.
Buyers must not rely exclusively on any listing, message, Safety Report, badge, score, ranking, trust signal, or other platform output when deciding whether to proceed with a transaction.
CleanListed’s tools are intended to assist user diligence, not replace it.
CleanListed may require additional identity, tax, banking, business, inventory, ownership, and contact verification from certain sellers or categories of sellers at any time, including periodic recertification or reverification.
CleanListed may require sellers to provide documents, certifications, or other information, may verify that information through third parties, and may suspend, limit, or terminate future selling activity for failure to comply.
Without limiting any other rights of CleanListed, if CleanListed determines that any seller, listing category, or transaction flow may be subject to marketplace, consumer-protection, seller-verification, suspicious-activity reporting, tax-reporting, or similar legal compliance obligations, CleanListed may require additional identity, contact, banking, tax, inventory, ownership, or business verification, annual certifications, recurring reverification, specific seller disclosures, or use of suspicious-activity reporting mechanisms.
CleanListed may suspend, limit, de-rank, remove, or terminate listings or selling privileges for failure to comply with such requirements, for failure to timely respond to verification requests, or where CleanListed reasonably believes continued activity creates legal, fraud, safety, or compliance risk.
CleanListed may disclose seller, listing, transaction, or verification information where required by applicable law, regulation, court order, legal process, tax-reporting obligations, marketplace compliance obligations, suspicious-activity reporting requirements, or consumer-protection enforcement.
CleanListed may review, analyze, preserve, monitor, and disclose in-app messages and other communications sent through the Services, using automated systems and human review, for trust and safety purposes, fraud prevention, legal compliance, dispute investigation, service integrity, enforcement of these Terms, platform improvement, and protection of CleanListed, its users, and third parties, as further described in the Privacy Policy.
CleanListed’s authorized personnel, contractors, service providers, and internal administrative tools may access, review, correlate, analyze, summarize, and use account data, listings, photos, media, reports, messages, block and report history, moderation records, support records, Paid Service records, investigation records, security logs, and related operational metadata for trust and safety, fraud prevention, customer support, legal compliance, quality assurance, security, investigations, enforcement, service operations, and product improvement, subject to the Privacy Policy and applicable law.
CleanListed is not obligated to monitor all user communications and does not guarantee that it will detect or prevent every instance of misconduct, fraud, harassment, or unlawful activity.
CleanListed may limit, archive, restrict, or make conversations read-only when a listing is marked sold, a deal is completed, a support or safety review occurs, or platform rules otherwise require. Any post-sale or post-completion messaging window is offered, if at all, solely at CleanListed’s discretion and may be shortened, revoked, reopened, restricted, or discontinued at any time. CleanListed does not guarantee indefinite access to pre-sale or post-sale messages, conversations, or attachments.
CleanListed may provide tools that allow users to report content, report users, block communications, or request review, but the availability of such tools does not create any duty on CleanListed to investigate, act, remove content, restrict access, or resolve disputes in any particular way or within any particular timeframe. CleanListed may investigate, decline to investigate, take action, or decline to take action in its sole discretion, subject to applicable law and these Terms. User reports, blocking tools, or enforcement actions do not constitute a representation that CleanListed has verified any allegation, eliminated any risk, or guaranteed user safety.
You may not:
The Services, including the CleanListed name, branding, software, interfaces, designs, databases, report formats, ranking logic, scoring logic, pricing logic, “Trust-Loop” methods, trust signals, text, graphics, compilations, and related intellectual property, are owned by Northbound Software Group or its licensors.
Subject to these Terms, CleanListed grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for personal, lawful, non-commercial marketplace use only.
You may not use any robot, scraper, spider, crawler, browser automation tool, AI agent, script, harvesting tool, benchmark process, or similar means to access, collect, copy, extract, monitor, reproduce, republish, mirror, benchmark, train on, fine-tune on, or commercially exploit any portion of the Services, including listing data, trust signals, scores, report outputs, pricing logic, ranking logic, user data, marketplace datasets, or internal outputs, without our prior written consent.
You acknowledge that unauthorized automated access or commercial reuse of marketplace data causes harm that is difficult to quantify precisely, including service degradation, infrastructure consumption, investigative and forensic expense, loss of report revenue, dilution of proprietary datasets, competitive harm, loss of data value, and harm to the integrity of our trust systems.
Accordingly, if you engage in unauthorized commercial scraping, automated extraction, benchmarking, mirroring, or data misuse, CleanListed may elect liquidated damages instead of actual damages for the same conduct in an amount equal to the greater of:
The parties agree that these liquidated damages are a reasonable pre-estimate of anticipated harm and not a penalty.
This Section does not limit CleanListed’s right to seek temporary, preliminary, and permanent injunctive relief, equitable relief, account termination, preservation orders, expedited discovery where available, actual damages where liquidated damages are unavailable, and any other remedies permitted by law.

Your notice must include all information required by applicable law for an effective copyright notice, including identification of the copyrighted work claimed to have been infringed, identification of the allegedly infringing material and its location on the Services, your contact information, and the statements required by 17 U.S.C. § 512(c)(3).
Upon receipt of a facially valid notice, CleanListed may remove, disable access to, or restrict allegedly infringing material and may notify the affected user.
If you believe your content was removed or disabled by mistake or misidentification, you may submit a counter-notification containing the information required by applicable law, including the statements required by 17 U.S.C. § 512(g). If CleanListed receives a facially valid counter-notification, CleanListed may restore the material as permitted or required by law.
CleanListed reserves the right to terminate or restrict accounts of repeat infringers or users who repeatedly violate intellectual property rights.
CleanListed may offer experimental, beta, pilot, test, or early-access features. Those features may be incomplete, inaccurate, unstable, modified, suspended, or discontinued at any time, with or without notice, and are provided “as is” without any additional warranty, support commitment, or promise of continued availability.
All meetups, inspections, demonstrations, exchanges, transportation arrangements, off-platform communications, and off-platform dealings occur solely between users and at their own risk.
CleanListed does not investigate, physically screen, monitor, supervise, or guarantee any user, location, route, vehicle, property, payment instrument, or in-person interaction.
Location, map, distance, and proximity information may be derived from ZIP code centroids, user-supplied data, geocoding, or other estimated methods and may be inaccurate. CleanListed does not warrant the accuracy of any user-reported or system-estimated location data.
To the maximum extent permitted by law, you voluntarily assume all risks arising from or related to in-person interactions and off-platform transactions with other users, including theft, robbery, assault, fraud, stalking, harassment, property damage, personal injury, illness, and death, and you release CleanListed and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims arising from or relating to those risks.
To the maximum extent permitted by law, the foregoing assumption of risk and release includes claims arising from or relating to the alleged negligence of CleanListed in connection with the Services, including alleged negligence in providing listing tools, messaging tools, reports, badges, trust signals, location estimates, or courtesy meetup guidance.
Any safety guidance, public-place recommendations, police-station suggestions, meetup tips, or other courtesy information provided by CleanListed do not create any duty and do not constitute a representation that any person, location, payment method, or transaction is safe.
If you believe you are in danger or are experiencing an emergency, contact 911 or your local emergency services immediately.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES, INCLUDING ALL LISTINGS, REPORTS, BADGES, SCORES, TRUST SIGNALS, RANKINGS, CONTENT, MESSAGING TOOLS, LOCATION ESTIMATES, AND THIRD-PARTY DATA, ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
CLEANLISTED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, QUIET ENJOYMENT, COURSE OF DEALING, COURSE OF PERFORMANCE, OR THAT A DEVICE, USER, LISTING, OR TRANSACTION IS SAFE, AUTHENTIC, LAWFUL, AVAILABLE, OR SUITABLE FOR PURCHASE OR RESALE.
CLEANLISTED DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM DELAYS, OR THAT ANY REPORT, BADGE, TRUST SIGNAL, OR THIRD-PARTY DATA SOURCE WILL REMAIN ACCURATE OR AVAILABLE.
CLEANLISTED IS NOT PROVIDING LEGAL, TAX, INSURANCE, LAW-ENFORCEMENT, CARRIER, APPRAISAL, OR OTHER PROFESSIONAL ADVICE.
CleanListed will not be liable for any delay, interruption, failure, degradation, or inability to perform resulting from causes beyond its reasonable control, including acts of God, natural disasters, internet or telecommunications failures, cyberattacks, denial-of-service events, carrier outages, third-party vendor or database failures, labor disputes, civil unrest, government action, war, embargoes, power failures, or other force majeure events.
You will defend, indemnify, and hold harmless Northbound Software Group, CleanListed and their affiliates, officers, directors, employees, contractors, agents, licensors, successors, assigns, and service providers from and against any claims, demands, actions, proceedings, liabilities, losses, damages, judgments, settlements, penalties, fines, costs, and expenses, including reasonable attorneys’ fees and enforcement costs, arising out of or relating to:
CleanListed may assume the exclusive defense and control of any matter otherwise subject to indemnification by you, at your expense to the extent permitted by law, and you agree to cooperate fully with that defense.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANLISTED SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OPPORTUNITY, EXPECTED SAVINGS, BUSINESS INTERRUPTION, OR DIMINUTION IN VALUE, ARISING OUT OF OR RELATING TO THE SERVICES, ANY DEVICE, ANY LISTING, ANY REPORT, ANY BADGE, ANY TRUST SIGNAL, ANY THIRD-PARTY PROVIDER, ANY OFF-PLATFORM PAYMENT, ANY MEETUP, OR ANY TRANSACTION BETWEEN USERS.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANLISTED SHALL NOT BE LIABLE FOR USER CONDUCT, USER CONTENT, DEVICE DEFECTS, MISDESCRIPTIONS, LATER STATUS CHANGES, OFF-PLATFORM PAYMENTS, LOST FUNDS, PROPERTY LOSS, PERSONAL INJURY, OR DEATH ARISING FROM OR RELATING TO ANY DEVICE TRANSACTION OR IN-PERSON INTERACTION.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLEANLISTED’S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF:
Some jurisdictions do not allow certain disclaimers or limitations of liability, so some of the above may not apply to you to the extent prohibited by law.
To the maximum extent permitted by law, any claim or cause of action arising out of or relating to the Services or these Terms must be filed within one (1) year after the claim or cause of action arose, or it is permanently barred.
This Section does not apply where such a limitation period is prohibited by applicable law.

You are responsible for keeping your account contact information current. We may provide formal notices to the most recent email address or other contact information associated with your account, and such notices will be deemed given when sent.

These Terms and any dispute arising out of or relating to these Terms or the Services are governed by the laws of the State of Arkansas, without regard to conflict-of-law rules and regardless of where you reside, access, or use the Services, except to the extent non-waivable law applies.
You and CleanListed agree that these Terms evidence a transaction involving interstate commerce and that this arbitration agreement is governed by the Federal Arbitration Act, 9 U.S.C. § 1 et seq.
Except for claims eligible for small claims court, claims seeking injunctive or equitable relief relating to intellectual property, confidentiality, fraud, or unauthorized scraping, and claims that cannot lawfully be arbitrated, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, any listing, any Paid Service, any report, any badge, any trust signal, or any interaction between you and CleanListed shall be resolved by binding individual arbitration.
Before initiating arbitration, either party must send the other a written notice of dispute describing the nature of the claim and the requested relief and allow thirty (30) days for good-faith informal resolution.
Notices of dispute must be sent using the Legal Notices section above.
The arbitration shall be administered by the American Arbitration Association ("AAA") under its applicable Consumer Arbitration Rules, as modified by these Terms.
If the AAA declines to administer the arbitration, the parties shall confer in good faith regarding an alternative administrator, such as JAMS, applying substantially similar consumer procedures.
CleanListed will pay all AAA or JAMS administrative fees, case-management fees, and arbitrator compensation required to be paid by the business under the applicable consumer arbitration rules, except for any consumer filing fee or amount the consumer must pay under those rules.
Each party shall bear its own attorneys’ fees and costs except where the arbitrator awards fees or costs under applicable law or the applicable arbitration rules.
Arbitration may be conducted on the papers, by video, by telephone, or through an in-person hearing, as determined by the applicable rules and the arbitrator.
If a hearing is required, CleanListed agrees that it may be conducted by video, by telephone, or in the county of your residence, unless the parties agree otherwise or the applicable administrator’s rules require a different arrangement.
The arbitrator shall have exclusive authority to resolve disputes regarding the interpretation, applicability, enforceability, or formation of this arbitration agreement, except that a court of competent jurisdiction shall decide any issue expressly reserved for courts under applicable law.
The arbitrator may award any individual relief available under applicable law or in equity, consistent with these Terms and the applicable arbitration rules.
YOU AND CLEANLISTED AGREE THAT EACH MAY BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, CLASS MEMBER, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, OR REPRESENTATIVE PROCEEDING, EXCEPT TO THE EXTENT SUCH A WAIVER IS PROHIBITED BY APPLICABLE LAW.
The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s individual claim.
If this class, coordinated, or mass proceeding waiver is found unenforceable as to a particular claim or request for relief, then that claim or request for relief shall proceed in court and not in arbitration, and the remainder of this Section shall remain enforceable to the fullest extent permitted by law.
Either party may bring an individual claim in small claims court instead of arbitration if the claim is within that court’s jurisdiction and remains on an individual, non-representative basis.
To the extent any claim is permitted to proceed in court, you and CleanListed agree that exclusive venue shall lie in the state or federal courts located in Washington County or Benton County, Arkansas, and you consent to personal jurisdiction there.
To the extent any claim is permitted to proceed in court, and to the maximum extent permitted by law, you and CleanListed knowingly and voluntarily waive any right to a trial by jury.
CleanListed may modify the Services, features, fees, policies, and these Terms from time to time, in whole or in part, in its sole discretion.
Updated Terms will be posted with a revised “Last Updated” date.
If CleanListed makes material changes, it may provide additional notice as appropriate, but CleanListed is not obligated to provide separate notice for immaterial changes, clarifications, enforcement-related revisions, or changes required by law or third-party providers.
Your continued use of the Services after the effective date of revised Terms constitutes acceptance of the revised Terms.
CleanListed may suspend, restrict, de-rank, remove content from, revoke badges from, preserve evidence related to, or terminate your access to the Services at any time, with or without notice, for suspected fraud, legal risk, trust-and-safety concerns, inactivity, nonpayment, chargeback risk, policy abuse, or any violation of these Terms.
CleanListed has no obligation to preserve, maintain, back up, or provide access to any account, listing, message, report, evidence, or other content, except as required by law or as expressly agreed by CleanListed in writing.
Upon termination, your right to use the Services ceases immediately. Termination does not relieve you of obligations incurred before termination.
The following provisions survive termination: ownership, licenses, feedback, anti-scraping restrictions, equitable-relief rights, releases, indemnity, disclaimers, limitations of liability, dispute resolution, governing law, venue, tax obligations, payment obligations, claim limitation periods, and any other provisions that by their nature should survive.
If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect, and any invalid or unenforceable provision shall be enforced to the maximum extent permitted by law.
You may not assign these Terms without CleanListed’s prior written consent. CleanListed may assign these Terms in connection with a merger, acquisition, financing, reorganization, change of control, or sale of assets.
No waiver of any provision of these Terms shall be deemed a further or continuing waiver of that provision or any other provision.
All rights and remedies of CleanListed under these Terms are cumulative and not exclusive.
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and CleanListed regarding the Services and supersede prior or contemporaneous understandings relating to the subject matter hereof.
There are no third-party beneficiaries to these Terms except as expressly stated otherwise.
