This agreement applies when a store owner or other business seller seeds inventory into CleanListed. It sits on top of the Terms of Service, Privacy Policy, and Marketplace Rules and documents that the seller, not Northbound Software Group d/b/a CleanListed, is the party offering the devices.
The seller is an independent business and is not an agent, employee, partner, franchisee, reseller, broker, or representative of CleanListed.
CleanListed provides listing, communication, moderation, and related marketplace tooling only. CleanListed does not buy, resell, warehouse, inspect, authenticate ownership of, certify title to, escrow, or process payment for the phones listed by the seller.
The signer represents that they are authorized to bind the business and to submit inventory on its behalf.
The seller represents that each seeded listing reflects real, currently available inventory and that the seller owns the device or is otherwise authorized to sell it.
The seller must not seed inventory that is stolen, counterfeit, unlawfully obtained, undisclosed-financed, activation-locked, MDM-restricted, materially misdescribed, or otherwise not legally sellable as listed.
For each phone seeded into inventory, the seller must certify the exact model, storage, color, condition, carrier or lock status, activation-lock status, MDM status, financing or lease status, repair or parts history, and asking price.
The certification must tie to the specific device or listing record, including a listing identifier, IMEI, serial number, or a masked internal device reference.
The seller is solely responsible for listing accuracy, communications with buyers, taxes, payment collection, device condition, delivery or meetup logistics, warranties, returns if any, and legal compliance.
The seller is responsible for promptly correcting inaccurate listings and for removing or updating listings when inventory is no longer available.
The seller authorizes CleanListed to display the business or store name, approved listing content, photos, ratings, and location information needed to operate the marketplace.
CleanListed may edit listings for formatting, reject content, remove listings, de-rank listings, suspend seeded inventory, or restrict accounts for trust, safety, fraud, policy, or legal reasons.
The seller authorizes CleanListed and its vendors to process device identifiers, including IMEI or serial information, to perform eligibility, fraud, blacklist, carrier, or similar device checks.
Those checks are operational trust-and-safety tools only and do not transfer ownership risk, title risk, or seller responsibility to CleanListed.
The seller will defend, indemnify, and hold harmless Northbound Software Group d/b/a CleanListed from claims arising out of device ownership disputes, stolen-property claims, counterfeit or misdescribed devices, tax obligations, regulatory violations, unlawful sales, buyer injuries, or other disputes tied to the seller's listings or conduct.
This agreement supplements the Terms of Service, Privacy Policy, and Marketplace Rules.
Onboarding records may include the signer identity, business identifiers, agreement version, timestamp, IP address, user agent, source path, session or flow identifiers, admin initiation context, and device-certification data captured during onboarding or later re-sign events.
